Integrated Spatial Information Solutions to License Assets and Assume North American Operations of Xmarc

PARKER, Colo., Jan. 28, 2002—Integrated Spatial Information Solutions, Inc. (ISIS; OTC BB: ISSS), a designer and supplier of e-government solutions and spatially enabled data warehouses, has reached an agreement to license exclusive North American rights to intellectual property and spatial integration software components owned by Xmarc for use in the public sector and utility markets. U.K.-based Xmarc provides wireless and Internet-enabled software solutions that aid in the access of location-based information from data warehouses and repositories. ISIS also agreed to support existing Xmarc contracts, work in progress and proposals in North America.

The deal effectively gives ISIS increased access to federal, state and local government clients in addition to commercial enterprises. "We fully expect this acquisition to enhance and expand our existing business given the exposure to new and potential customers that it provides," said John Antenucci, president of ISIS. "However it's too soon to determine the value of the asset which we have acquired at essentially no cost in exchange for supporting Xmarc's existing customer base in North America."

ISIS will pay Xmarc a royalty stream for a period of 21 months ending Sept. 30, 2003, after which the company will have the right to acquire in perpetuity the exclusive rights to Xmarc technology and all subsequent enhancements for the North American public sector and utility markets.

Mr. Antenucci added: "We have gained significant experience and confidence with Xmarc's technology in building solutions for our customer base. We anticipate using the technology as an integration tool set for a wide range of e-government and e-commerce solutions that are multi-platform and need to access very large and distributed data sets. In our experience to date, the tools have successfully augmented a wide range of traditional GIS (geographic information system) software products, while providing access to enterprise-based data warehouses and repositories through the use of industry standard browsers."
